Jefferson Capital Files to Go Public

Jefferson Capital, a Minnesota-based debt buyer, is aiming to raise up to $100 million through an initial public offering, according to a registration statement filed with the Securities and Exchange Commission earlier this week.

Why it matters: The company’s decision to go public, and the details shared in its S-1 registration document, provide a rare window into the financial and operational engine of a major player in the charged-off and insolvency receivables space.

Details:

  • Jefferson Capital plans to trade under the ticker JCAP on the Nasdaq Global Select Market.
  • The company operates in the U.S., Canada, U.K., and Latin America, with co-sourced operations in India.
  • Jefferson purchased $6.9 billion in face value of U.S. debt in 2024, representing a 4.1% market share — up from 2.9% in 2019.
  • As of March 31, it reported $2.8 billion in estimated remaining collections (ERC), with 50% of that expected to be collected in the next two years.

Financials:

  • Revenue: $488 million (for the 12 months ending March 31)
  • Net income: $128.9 million in 2024; $64.2 million in the first quarter of 2025
  • Adjusted EBITDA: $242.1 million in 2024; $92.0 million in the first quarter of 2025

Business model: Jefferson buys nonperforming consumer accounts at a discount and works with consumers to recover payment. The company also manages distressed performing portfolios, such as the $2 billion in receivables it purchased from Conn’s after the retailer’s bankruptcy filing. It splits its business across several asset classes including credit cards, installment loans, telecom, and auto deficiencies.

Notable assets and strategy:

  • Jefferson’s U.S. portfolio makes up 75.9% of its ERC.
  • It claims to be the largest or second-largest buyer in telecom, auto, and insolvency-related portfolios in the U.S.
  • The company also owns third-party servicing and legal recovery platforms in the U.K., and sees further international expansion opportunities, particularly in Latin America.

Between the lines: Jefferson touts its data-driven pricing model and proprietary segmentation engine (ValuTiers) as key advantages. Its ability to accurately predict liquidation and optimize cost-to-collect is central to its pitch to investors.

What’s next: The IPO is being led by Jefferies and Keefe Bruyette Woods, along with several other underwriters. No date has been set for the offering.
