Judge Denies Discovery Request for Plaintiff’s Retainer Agreements in FDCPA Case

A District Court judge in New Jersey has denied a defendant’s motion seeking the retainer agreements between a plaintiff and her attorneys in a Fair Debt Collection Practices Act case to potentially fight certification of a class, among other reasons.

The background: The plaintiff filed a putative class action in New Jersey state court in 2020 alleging that the defendants violated the FDCPA by attempting to collect debts to which they were not legally entitled. The case was then removed to federal court.

  • The case was consolidated with a related action in 2022, adding another named plaintiff. But after that individual filed for bankruptcy, the court administratively terminated the case while the bankruptcy issues played out. The case remained dormant for nearly three years before the plaintiff requested that it be reopened in March 2025.
  • After the case was revived, discovery resumed and the defendants sought to compel the production of the plaintiff’s retainer agreements with her attorneys. The defendants argued that the agreements could reveal whether the plaintiff and her counsel were adequate representatives of the proposed class, particularly if the agreements contained financial provisions similar to those criticized in a prior out-of-circuit FDCPA case.
  • In that earlier case, a court concluded that a class representative was not adequate because the fee agreement potentially obligated the plaintiff to pay legal fees if the case did not proceed as a class action. The defendants argued the agreements in this case might contain similar provisions.

The ruling: Judge James B. Clark, III of the District Court for the District of New Jersey rejected the defendant’s request, concluding that they had not made the necessary showing that the agreements were relevant or that a conflict of interest actually existed.

  • The judge emphasized that courts in New Jersey generally disfavor discovery of attorney fee agreements prior to class certification unless there is concrete evidence of a conflict.
  • Judge Clark also pointed out that the law firm representing the plaintiff had previously represented to another court that its fee agreements in fee-shifting cases do not require clients to pay legal fees or litigation expenses.
  • Additionally, the judge explained that if defendants want to explore whether the plaintiff has agreed to any financial obligations that might affect her role as a class representative, they can pursue those questions through deposition testimony rather than by forcing disclosure of the agreements themselves.
  • The ruling leaves open the possibility that adequacy arguments could still be raised later if the plaintiff formally seeks class certification. But for now, the court concluded that the defendants’ concerns were premature and unsupported by specific evidence.
