Missouri Appeals Court Revives FDCPA Lawsuit After Settlement Agreement Dispute

A Missouri appeals court has reversed a lower court ruling enforcing a settlement agreement in a Fair Debt Collection Practices Act lawsuit, finding there were disputed factual issues about whether the parties actually agreed to the same material settlement terms.

The background: The plaintiff sued a law firm and related defendants alleging violations of the FDCPA and negligence claims tied to an attorneys’ fee dispute involving a condominium association matter.

  • The defendants claimed the plaintiff owed more than $5,300 in attorneys’ fees and costs after a dispute involving maintenance responsibilities for a fence between condominium units.
  • Nearly a year later, the plaintiff sent the defendants a draft FDCPA lawsuit and proposed settling the matter if the defendants waived the claimed attorneys’ fees and paid the plaintiff the FDCPA’s $1,000 statutory damages amount.
  • After a phone call between the parties, the defendants sent a March 1, 2024 email stating they had agreed to resolve the dispute for $1,000 in exchange for a release of claims and execution of a settlement agreement containing “usual and customary terms,” including confidentiality and non-disparagement provisions.
  • The plaintiff responded that there was “some vagueness” in the proposed terms but stated the agreement “sounds fine” pending review of formal settlement paperwork.
  • Several days later, the defendants sent a seven-page settlement agreement containing confidentiality, non-disparagement, and release provisions. The plaintiff ultimately rejected the document, arguing it materially changed the earlier settlement discussions by adding new terms and making some obligations one-sided.

The ruling: The Missouri Court of Appeals for the Eastern District reversed the lower court’s decision enforcing the settlement agreement and remanded the case for an evidentiary hearing.

  • The appellate court found there were genuine disputes about what terms were considered essential to the agreement and whether the parties actually reached a “meeting of the minds” on those terms.
  • The court noted the parties disagreed about several key provisions, including whether the confidentiality and non-disparagement obligations were intended to apply mutually or only to the plaintiff, and whether the release covered only FDCPA claims or all potential claims arising from the dispute.
  • The opinion also highlighted that the defendants themselves took inconsistent positions regarding which settlement terms were actually essential.
  • Another operational takeaway in the ruling involved the court’s discussion of settlement enforcement procedures. The panel emphasized that evidentiary hearings are generally the preferred method for resolving disputed settlement issues, particularly where questions remain about assent to material terms.
